SUMMARY OF PROGRAM

Berkeley Law faculty from the University of California and Hughes Hubbard attorneys will present a one-day advanced academic seminar on compliance and corruption in the context of Mergers and Acquisitions. This seminar is in furtherance of Berkeley Law’s collaboration with the United Nations Global Compact’s Lawyers and Leaders program. This seminar is aimed at general counsel, chief compliance officers, heads of M&A as well as compliance officers and in-house counsel with significant experience in compliance. Participants: This program is designed for general counsel, chief compliance officers, heads of M&A as well as compliance officers and in-house counsel with significant experience in compliance.

Presenters: This seminar will be co-presented by Berkeley Law faculty and Hughes Hubbard attorneys.

OVERVIEW OF TOPICS AND PRESENTERS 

Professor Stavros Gadinis will lead the sessions below and draw upon the expertise of Professors Dick Buxbaum and  Jill Fisch

Session 1: Academic presentation on The Foreign Corrupt Practices Act (FCPA) and Extraterritoriality 

Session 2: Academic presentation on the legal implications of performing internal investigations, and the risks of being confronted by a whistle-blower

Session 3: Academic presentation on the liability of compliance officers across borders under the US, UK and German law

 

Hughes Hubbard attorneys Bryan Sillaman and Nicolas Tollet (who is teaching Compliance at Berkeley Law) will lead the following discussions: 

Case Study 1: M&A Compliance and Corruption

Case Study 2: Compliance and Human Rights

Throughout the day, Kevin Abikoff, Chair of the firm’s Anti-corruption & Internal Investigations Practice, will provide his hands-on perspective based on his extensive in-house and private practice experience in compliance and investigations.
