"Corporate Governance: State of the Art Topics" will cover the major developments of recent years which have significantly affected the governance, and disclosure obligations, of public companies in the United States. The course will cover the new and continually evolving regulatory regime along with the litigation and enforcement matters which arise from violations thereof, including: (i) the Enron, Worldcom and other corporate scandals; (ii) the Sarbanes-Oxley Act reaction to those scandals, and its significant effect on public company governance, reporting obligations, and the criminal enforcement regime; (iii) the new stock exchange listing requirements which have imposed fundamental reform on corporate governance; (iv) the roles and responsibilities of corporate "gatekeepers," including particualr focus on the duties of attorneys; (v) shareholder activism and attempts to shift the balance of effective control over the corporate enterprise decisively toward shareholders; (vi) attempts to reform executive compensation; (vii) criminal and SEC enforcement actions along with related civil litigation arising from option backdating; (viii) subprime lending and the credit crisis of 2008; (ix) the impact of the credit crisis on the structure of regulation over securities and derivatives going forward.
