This is a survey course that introduces the basic principles of business law. It will focus on the features and governance of business organizations including corporations, partnerships, and limited liability companies. Much of the course will emphasize the fiduciary and other legal obligations that directors and managers owe to shareholders and other corporate constituencies. We will discuss how these duties impacts especially consequential decisions, such as the choice to sell a firm, and we will analyze how concerns about ESG (environmental, social, and governance matters) may or may not affect the legal obligations of corporate decision makers.
