This is a nuts-and-bolts course designed to provide students with an overview and understanding of common commercial real estate transactions in California, including key issues in the transaction documents, focusing on the issues facing users of real estate. The course also covers the types of claims and remedies that come into play when disputes arise, and land use issues. The main transactions covered by the course include commercial leases, subleases and related agreements, purchase and sale agreements (including title and survey), construction contracts and architect agreements and real estate financing documents.

The class is taught by Susan Reinstra, a partner in the real estate group at Wilson Sonsini, and Sean Wilkinson, a senior associate in the real estate group at Wilson Sonsini. Susan has an undergraduate degree from the University of Notre Dame, graduated from Stanford Law School and has been practicing real estate law for 30 years. Sean has an undergraduate degree from Santa Clara University, a law degree from University of Southern California and has been practicing for almost 10 years. Their practices are focused on the real estate needs of technology and life science companies.
