Recent reincorporations into Nevada have begun to attract attention within the venture capital ecosystem, raising questions long taken for granted: does Delaware still make sense for startups? For decades, Delaware incorporation was the default for venture-backed companies.
This webinar brings together Silicon Valley and Delaware lawyers, along with advisors and investors who guide early-stage companies through incorporation decisions. The panel will examine how incorporation choice affects fundraising, long-term growth, and managerial discretion, particularly in exit decisions, and whether Nevada offers meaningful advantages or instead introduces new legal and practical complications. The discussion will explore how incorporation choice affects the fiduciary duties of directors and controlling stockholders in startups, and the extent to which best practices for avoiding liability differ across jurisdictions such as Delaware and Nevada.
