Early stage valuation is more art than science. Seed funding (or seed capital) is a form of securities offering in which an investor invests capital in a startup company in exchange for an equity stake or convertible note stake in the company. Most seed rounds come almost exclusively from friends and family who are not likely to be terribly sophisticated investors. Be fair to them, they are taking a major risk with you – which is why the strength of a valuation at this very early stage is predicated on its defensibly and appeal to these individuals.
