The class will explore how corporate mergers, acquisitions, sales, and business combinations are conceived, structured, negotiated, and documented. We will use documents from actua; transactions to examine the principal issues that arise from inception to closing of a deal. The course will focus on the competing interests of buyers and sellers and how counsel for each side addresses those interests.

Prerequisites:
Corporations. Securities Regulation is desirable but not mandatory. Corporate Tax and Antitrust are also helpful.

This course satisfies the Constitutional Law Requirement.
