The seminar will explore how corporate mergers, acquisitions, sales and business combinations are conceived, structured, negotiated and documented. We will focus on transactions between publicly held corporations. We will use documents from actual transactions or forms to examine the principal recurring issues that arise from inception to closing of a deal. The seminar will emphasize the competing interests of buyers, sellers and other affected parties, and how counsel for each party often addresses those conflicting interests.

Instructor Biography

Michael C. Ross, Esq. served as Senior Vice President, General Counsel and Secretary of Safeway Inc. from May 1993 through May 2000. During that time, he successfully managed the company’s acquisitions of The Vons Companies, Inc., Dominick’s Supermarkets, Inc., Carrs Food Co and Randall’s Food Markets, Inc. For several years after his retirement as an executive officer, he advised the company on M&A initiatives, including the successful acquisition of Genuardi’s Family Markets. Prior to joining Safeway, Mr. Ross was a partner at Latham & Watkins, specializing in mergers and acquisitions. Mr. Ross in a 1977 graduate of the University of Virginia School of Law.
