The day-to-day practice of corporate law presents numerous problem situations where the needs of the business and the ideal legal solution to the problem are at odds with one another. For example, sometimes the clear best practice, in legal terms, is to admit nothing. However, for reasons of business credibility, it is necessary to make certain disclosures. How do you, as the attorney, advise the business managers? What is the optimal legal solution to the problem? What is the ideal business outcome? Are they in alignment, or are there conflicts that need to be resolved? How can you advise the business decision maker to choose the best course of action? What are the trade-offs, risks, and problems that you encounter with each possible solution path? How do you resolve them?

Skills that will be developed during the course include:

- An understanding of basic financial analysis and business management concepts;
- A pragmatic understanding of how decisions are made by business managers; and
- How to argue and advocate positions in a way that business managers will appreciate and view you as an integral part of the overall business and not simply the “hall monitor” telling them to be careful.
