Working with the two fundamental questions of executive pay “ “How much”? And “How”? “ this course will focus on the design of various short- and long-term incentive plans, perquisites, employment agreements and severance arrangements. Included will be the valuation of stock options, using the Black-Scholes model. Techniques for measuring the competitiveness of pay will be discussed, ranging from simple descriptive statistics to both single-variable and multiple variable regression. Students will learn the components of SEC-mandated forms, including proxy statements, portions of Form 10-K, Form 4 and Form 8. Actual pay practices and levels of many companies will be explored and discussed.
