The course begins with an introduction to the theory of the firm and valuation problems. It then discusses three basic business structures: agency, partnership, and corporation. This overview is followed by consideration of creditor rights. Focus then shifts to understanding a series of complex restraints on public corporations, notably shareholder voting and fiduciary obligations. Current doctrinal and policy debates will be discussed throughout.
