We will study state of the art topics in corporate governance, including the changes in corporate governance resulting from the wave of scandals such as Enron and Worldcom, the impact of these changes on the main players in the corporate arena, such as officers, directors, investment bankers, auditors and corporate attorneys. We will study stock options backdating, executive compensation and shareholders rights issues, as well as how corporate governance disputes are presented in court, to judge or jury.
