This course has two main purposes: first, to introduce students to the major elements of corporate bankruptcy reorganization under Chapter 11 of the Bankruptcy Code; and second, to show students how bankruptcy (as well as other) law affects the structure of corporate financing transactions outside of bankruptcy.
The bankruptcy topics to be covered include priority rules, equitable subordination, fraudulent conveyance law, preferences, substantive consolidation of holding companies, interest payments under Chapter 11, corporate governance during reorganization, the valuation of corporations in bankruptcy, plans of reorganization under Chapter 11, and alternatives to reorganization. Among the other topics to be covered are leveraged buyouts, junk bonds, lender liability, the Trust Indenture Act, and non-bankruptcy workouts.
Prerequisites:
Corporations I or permission of instructor
Due to delays in contruction; this course will meet in the faculty lounge, room 336 for the first week of the semester.
