Prerequisites: Introduction to Intellectual Property or Copyright Law and Patent Law.
This course covers the myriad transactions involving intellectual property rights in the modern economy with an emphasis on the high technology industry. Increasingly, conventional transactional lawyering involves an intellectual property component; this course is designed to help those students preparing for a career in business or corporate law become comfortable and familiar with intellectual property rights. We
will cover the law of ownership of rights (who is vested with rights initially under the copyright, patent, and trademark statutes); assignment of rights, especially in the employment context; licensing transactions (strategic transactions, UCC rights and warranties, shrinkwraps/webwraps, UCITA, open source); antitrust considerations, channel issues, and consulting/development relationships. We will not deal directly with the issuance and validity of rights, instead focusing solely on transactions involving them.
The course will give students the tools and skills they will need to draft and analyze intellectual property agreements. After developing the legal foundation outlined above, we will draw on high level practitioners from leading law firms and local high technology companies to explore the real world of intellectual property practice in fields such as merchandising, new media, and the Internet. In addition to lectures, students will have the opportunity to apply their new skills to an IP due diligence exercise and a mock licensing negotiation.
Instructor Biographies: Chris Nadan is Associate General Counsel and Director for Sun Microsystems, Inc. He heads the legal group responsible for supporting all Sun software. Mr. Nadan is also a frequent speaker to industry groups, including the Open Source Development Labs (home to Linus Torvalds) and the Computer Law Association (simulcast to 21 cities in 7 countries), and has authored a number of published articles, including “Open Source Licensing, Virus or Virtue?” (10 Texas I.P.Law Journal 349 (2002)). Before joining Sun, Chris was an intellectual property attorney at Farella, Braun & Martel in San Francisco, where his practice included IP litigation and client counseling for high tech companies. Chris received his undergraduate degree from Stanford and his law degree from Boalt.
Michele Milnes Nadan was most recently corporate counsel for a software company in Santa Clara, Filemaker, Inc. Prior to that, she was in the Products, Technology and Multimedia group at Gray Cary Ware & Freidenrich in Palo Alto specializing in licensing and other IP transactions for high technology companies. Michele earned her J.D. from Boalt where she was Editor-in-Chief of the High Technology Law Journal (now the BTLJ). Michele graduated from UCLA with a degree in Electrical Engineering, and is also a member of the Patent Bar.
